A Typical Day:
Pennymac is on the lookout for a high-caliber transactional legal professional with a passion for Capital Markets and Secondary Marketing. We are hiring a Senior Vice President, Corporate Associate General Counsel with extensive experience reviewing, negotiating and drafting deal documents related to complex mortgage securitizations, bulk whole loan sales, mortgage servicing rights (MSR) transactions, derivatives (ISDAs/MSFTAs), and other structured finance transactions. 
 
This strategic role is perfect for a detail-oriented expert with at least 5 years of relevant experience. The selected candidate will have the opportunity to interface with senior management and drive high-impact transactional work in a collaborative environment.

 

The SVP, Corporate Associate General Counsel will:

  • Review, negotiate, and draft Mortgage Loan Purchase and Sale Agreements, Mortgage Loan Servicing Rights (MSR) Acquisition and Sale Agreements, Mortgage Loan Repurchase Agreements, Mortgage Loan Servicing Agreements, and Confidentiality Agreements; provide legal counsel on transaction structuring, asset transfer requirements, and risk allocation for MSR and whole loan sales. 

  • Provide strategic legal counsel on consumer mortgage compliance and asset eligibility and, as applicable, ensuring strict alignment with Qualified Mortgage (QM) requirements, Ability-to-Repay (ATR) rules, CFPB regulations, and Agency requirements (FNMA, FHLMC, and GNMA) 

  • Structure, draft, and negotiate ISDAs, MSFTAs, and Securities Repurchase Agreements

  • Review and update derivatives trading policies to ensure compliance with Dodd-Frank, ISDA protocols, and the rules and requirements governing Commodity Pool Operators (CPOs) and Commodity Trading Advisors (CTAs) 

  • Review, negotiate, and draft company and third-party mortgage loan securitization documents, including Pooling and Servicing Agreements (PSAs), Custodial Agreements, Indentures, Trust Agreements, Escrow Agreements, In-House Legal Opinions, and Indemnification Agreements

  • Review and negotiate offering documents, including Private Placement Memorandums (PPMs), Offering Circulars, Prospectuses, and Term Sheets 

  • Oversee the legal aspects of the securitization due diligence process, including managing Third-Party Review (TPR) firm engagements and reviewing and negotiating Due Diligence Questionnaires (DDQs) and related agreements 

  • Draft, review, and revise Originator and Servicer Disclosures in connection with company securitizations and third-party securitizations, ensuring adherence to disclosure and reporting requirements of Regulation AB and Federal Securities Laws 

  • Manage and ensure compliance with securitization regulatory frameworks, including US credit risk retention requirements, SEC Rule ABS-15G reporting and other applicable Federal Securities Laws

  • Perform other related duties as required and assigned

  • Demonstrate behaviors that are aligned with the organization’s desired culture and values

What You’ll Bring:
  • Post-graduate degree

  • 5+ years of relevant work experience

  • Significant experience in secondary market and capital markets transactions, including bulk whole loan sale transactions, third party mortgage securitization transactions and related regulatory and compliance requirements

  • Knowledge of mortgage loan origination, compliance, underwriting, servicing, and subservicing is a plus

  • Licensed to practice law in CA or TX

  • Must be highly proficient in Word

  • Must be a team player, with the ability to work independently, and possess a strong attention to detail, excellent critical thinking skills, sound judgment and the capacity to handle multiple projects effectively

  • Strong business acumen and ability to interface with senior and executive management

Compensation: Individual salary may vary based on multiple factors including specific role, geographic location / market data, and skills and experience as defined below:

  • Lower in range - Building skills and experience in the role
  • Mid-range - Experience and skills align with proficiency in the role 
  • Higher in range - Experience and skills add value above typical requirements of the role 

 

Some roles may be eligible for performance-based compensation and/or stock-based incentives awarded to employees based on company and individual performance. 

 

Salary: $175,000 - $305,000 Work Model: OFFICE
