Overview Cooley LLP has an opportunity available to work with the Technology Transactions Group in our Palo Alto and New York offices. The group is seeking candidates with three to five years of experience in technology transactions, with an emphasis on high technology commercial transactions and intellectual property licensing. The role does not involve intellectual property litigation or the prosecution/registration of any intellectual property, but may include advising on transactional privacy issues and compliance and regulatory matters (including emerging regulatory environment for artificial intelligence systems).Responsibilities Draft and negotiate complex licensing arrangements, including agreements involving artificial intelligence counseling and deployments, software and content licensing, partnering and distribution, application hosting, cloud hosting services, intellectual property development, and technology transfer relationships.Manage and prioritize multiple projects independently and as a member of a high‑energy team serving both emerging companies and established enterprises.Provide commercially‑minded and pragmatic counsel to clients, including thoughtful drafting of customized agreements to meet specific client needs.Advise on transactional privacy issues and compliance and regulatory matters.Contribute actively to the practice group training environment and stay abreast of related legal developments.Qualifications Three to five years of experience in technology transactions, with an emphasis on high technology commercial transactions and intellectual property licensing.Substantive experience drafting and negotiating complex licensing arrangements.Knowledge of emerging regulatory environment for artificial intelligence systems.Strong analytical skills, creative problem‑solving abilities, and excellent drafting skills.Ability to learn quickly, work independently, and manage multiple projects.Compensation Expected annual pay range: $260,000-$365,000.
