Transactional Lawyer

Qualifications:

• At least 3 years of experience practicing law, with a focus on transactional work and corporate law preferred.
• Strong knowledge of contract law, corporate governance, and transactional legal principles.
• Excellent communication skills, both verbal and written, with the ability to effectively interact with clients and colleagues.
• Proven ability to manage multiple projects simultaneously and work under pressure to meet deadlines.
• Attention to detail and strong analytical skills

Preferred Skills:

• Experience or knowledge in loan documents, leases, purchase agreement & construction documents
• Experience working in a law firm or corporate legal department specializing in transactional law.
• Familiarity with technology and software tools used for legal research and contract management.
• Ability to work independently and as part of a collaborative team.

Contract Drafting and Review:

Draft, review, and negotiate a wide range of contracts, including but not limited to, vendor agreements, client contracts, partnership agreements, and other business-related documents.

Ensure that contracts comply with company policies, legal requirements, and industry regulations.

Transactional Support:

Provide legal counsel and support to clients on various business transactions, including mergers and acquisitions, joint ventures, corporate restructuring, and financing transactions.

Conduct due diligence, review transactional documents, and assist in closing transactions.

Corporate Governance:

Advise on corporate governance matters, including compliance with corporate laws, regulations, and best practices.

Assist in preparing board resolutions, minutes, and other corporate documentation.

Legal Research and Analysis:

Conduct legal research and analysis on issues affecting the company’s business operations.

Stay updated on changes in laws and regulations relevant to corporate and transactional matters.

Risk Management and Compliance:

Identify legal risks and propose appropriate risk mitigation strategies.

Assist in developing and implementing compliance programs to ensure adherence to applicable laws and regulations.
