This role will partner closely with Corporate Development, Finance, Accounting, Equity, and executive leadership across a broad range of corporate matters to strengthen our processes, structure and execute high-impact transactions, and provide exceptional advice to the business. About the Role: We are looking for a Senior Legal Counsel, Corporate to lead Vercel's M&A transactions and Vercel Ventures investments, to assist with general corporate matters, and to support corporate initiatives including any future public company readiness and SEC reporting.
What You'll Own Act as a day-to-day product partner to AI, Data, and Engineering teams, contributing directly to product design and decision-making Translate legal and regulatory requirements into clear product and engineering constraints that can be implemented in real systems Build and operationalize AI governance frameworks that enable rapid experimentation while managing risk (not slowing it down) Lead compliance readiness for emerging AI regulations (including the EU AI Act) in a way that is practical, scalable, and product-aligned Advise on AI system design decisions including model usage, training data, outputs, and user-facing functionality Own legal strategy for AI-related IP, including generated content, training data, and third-party model integrations Partner with Engineering and Data to implement privacy-by-design and safety-by-design patterns Draft and negotiate technology, data, and vendor agreements, with a strong bias toward enabling product velocity Continuously monitor the AI regulatory landscape and translate developments into actionable product guidance, not theoretical summaries Build lightweight, usable legal processes that integrate into existing product workflows (PRDs, launch reviews, experimentation cycles) Who We're Looking For Strong business operator who happens to be a lawyer. You will ensure production readiness by providing business context for architecture, risk, and security reviews; leading UAT; shaping change management materials; and championing user requirements to drive strong adoption at launch. Market Intelligence & Subject Matter Expertise You will serve as the internal expert on assigned products, maintaining deep knowledge of capabilities and roadmaps while monitoring legal tech and vendor trends.
Preferred Requirements: 10+ years of experience, ideally with prior in‑house roles on high‑impact legal teams at a fintech, financial services, or technology company; start‑up or high‑growth company experience is a plus; Experience leading and closing complex commercial negotiations (for example, high value purchase agreements or strategic partnership deals); Genuine curiosity about how Upstart's business works and a desire to jump in cross‑functionally to help teams solve problems, even when the work sits outside traditional legal lanes; Over time, a desire to mentor and collaborate with other members of the legal team, and to help build efficient, scalable processes as we grow and evolve; Strong communication skills with a demonstrated ability to translate complex legal and risk concepts into clear, actionable guidance for non‑lawyers; Eagerness to dive into new products, AI and data issues, and unfamiliar areas of law with a solutions‑oriented, low‑ego mindset; Entrepreneurial drive that sees ambiguity as opportunity, and obstacles as chances to build new solutions; and. degree with solid academic credentials and a state bar membership (NY or CA preferred); 7+ years of experience at a law firm in a transactional practice area (ideally technology transactions, capital markets, or similar) or some combination of in-house/law firm experience with a focus on transactional/commercial matters; Demonstrated ability to act as legal point during intense/complex negotiations and to work effectively with sales leadership to manage expectations and goals; Experience reviewing, drafting and negotiating complex B2B SaaS agreements, preferably in a regulated environment or while licensing into a regulated environment; Not just an issue‑spotter but an issue‑solver, with a "can‑do" mindset, a habit of moving quickly, and ownership to drive matters from start to finish; and.
Hands-on experience with AI platforms and tools (e.g., OpenAI, Microsoft Azure OpenAI, Hugging Face, LangFlow, LangChain), including practical implementation of RAG pipelines, vector databases, and knowledge graph construction. Familiarity with leading legal technology platforms is preferred (docketing systems, document management systems, case management systems, eDiscovery, data collection and web capture solutions).
