    Associate Attorney Healthcare Law
    Health Law Associates, LLC Atlanta, GA (Hybrid: In-Person + Remote)
    Health Law Associates, LLC is seeking a full-time Associate Attorney to join our boutique healthcare law practice. We serve a diverse array of clients across the healthcare industry including DME suppliers, physician groups, healthcare facilities, autism therapy providers, telehealth companies, healthcare technology startups, MSOs, and lab and device businesses with a strong focus on regulatory compliance, transactional work, and payer-provider strategy.
    This is a hybrid position, with a flexible mix of in-office and remote work. While we value face-to-face collaboration in our Atlanta office, we also support autonomy and work-life balance through remote flexibility. The role offers immediate, meaningful client interaction associates will be involved in advising clients, structuring deals, and responding to complex regulatory issues from day one.
    What You'll Do
    As an Associate at Health Law Associates, you'll work on a wide range of regulatory, transactional, and operational matters for healthcare clients including startups, providers, and established companies navigating a highly regulated environment. While you'll take on meaningful responsibility early, you won't be expected to figure things out alone. All work is done collaboratively, with close mentorship and ongoing support to help you build your expertise and confidence. You'll be part of a small, dynamic team that values curiosity, clarity, and practical solutions.
    Your work will include:
    • Advising healthcare clients on federal and state fraud and abuse laws, including the Stark Law, Anti-Kickback Statute, Civil Monetary Penalties Law, and the False Claims Act
    • Supporting clients through Medicare and Medicaid enrollment, reimbursement disputes, audit responses, and participation in OIG and CMS self-disclosure protocols
    • Providing guidance on MSO structures, the corporate practice of medicine, and other state-specific regulatory issues
    • Drafting and negotiating service agreements, vendor contracts, compliance policies, and business associate/data access agreements
    • Assisting with transactional due diligence and review of regulatory risks in M&A, financing, and provider-group formations
    • Advising DME providers, telehealth companies, and healthcare startups on enrollment, commercial and government healthcare program reimbursement, compliance, HIPAA, marketing restrictions, licensure
    • Translating complex legal and regulatory requirements into clear, actionable guidance tailored to client operations
    • Participating in internal discussions around legal strategy, client goals, and development of firm-wide knowledge resources and templates
    Ideal candidates will have:
    • 3 5 years of legal experience (though we will consider candidates at all levels)
    • A demonstrated interest in healthcare law
    • Strong skills in legal research, statutory and regulatory analysis, and writing
    • Comfort working in a fast-moving environment with a high degree of responsibility
    • A client-first mindset and the ability to communicate complex legal concepts in practical, business-oriented terms
    Experience representing private equity funds, growth equity investors, venture capital funds, strategic investors, founders, and portfolio companies in sophisticated corporate transactions.
    Experience with mergers and acquisitions, minority investments, growth equity investments, recapitalizations, joint ventures, strategic investments, roll-up transactions, acquisition financing, exit transactions, and transaction structuring.
    Experience serving as lead transaction counsel and independently managing sophisticated transactions from letter of intent through closing, including deal execution, timeline management, and coordination of multidisciplinary deal teams.
    Experience drafting and negotiating stock purchase agreements, asset purchase agreements, merger agreements, purchase agreements, LLC operating agreements, shareholder agreements, disclosure schedules, and other transaction documents.
    Experience managing legal due diligence, including review of corporate governance, commercial contracts, employment, intellectual property, litigation, regulatory matters, and preparation of diligence summaries and risk assessments.
    Experience advising executive management teams on corporate governance, strategic growth initiatives, and complex business transactions while serving as the primary client contact and developing long-term client relationships.
    Strong negotiation, project management, and organizational skills, with the ability to manage multiple fast-paced transactions under tight deadlines.
    Experience supervising junior attorneys and transaction specialists is a plus.
    Healthcare transactions and/or technology and software transaction experience strongly preferred.
    Experience with private investment fund formation, limited partnership agreements, subscription agreements, side letters, GP/LP governance, carried interest, and management company structures is a plus.
    Preferred qualifications include:
    • A healthcare compliance certificate or coursework from a top health law program
    • Industry experience in healthcare, or an advanced degree such as an MHA, MSHA, MPH, or equivalent
    • Active Georgia bar membership (or eligibility for waiver/admission)
    • Experience in corporate M&A and operations
