We areseeking a Associate Corporate Counsel . The AssociateCorporate Counsel will assist the General Counsel with legal department functions relating to litigation, contracting and corporate governance matters. Primary responsibility Provide day-to-day legal support to OneSource Medical Diagnostic, LLC by drafting and reviewing contracts, advising business leaders on legal and regulatory matters, and supporting employment and operational matters, litigation management, subpoena responses, and interpleader matters. This role also helps ensure the Company operates in compliance with applicable federal, state, and local laws Day to Day Responsibilities: - Draft, review, negotiate, and administer commercial agreements, vendor contracts, customer agreements, confidentiality agreements, and other legal documents.
- Provide practical legal guidance to Human Resources, Operations, Finance, Sales, and executive leadership.
- Serve as the primary day-to-day legal resource for 1stSource LLC, escalating enterprise-level, cross-entity, and novel matters to the Chief Risk and Compliance Officer / Corporate Counsel.
- Research federal, state, and local laws with an emphasis on California law, healthcare regulatory matters, and corporate law.
- Assist with employment law matters, policy interpretation, investigations, and risk mitigation.
- Review regulatory requirements and support organizational compliance initiatives.
- Advise on HIPAA, California medical-information privacy requirements, and patient authorization and medical-records release practices.
- Draft and negotiate payor, provider, referral-source, and equipment and facility agreements.
- Handle, review, track, and coordinate responses to subpoenas, including reviewing for technical compliance, coordinating appearances with opposing counsel, and lodging objections when necessary.
- Review, prepare, and coordinate interpleader actions and related legal filings while ensuring compliance with court requirements and organizational procedures.
- Support litigation management by coordinating with outside counsel, collecting documents, and monitoring deadlines.
- Review insurance, indemnification, and risk allocation provisions in contracts.
- Maintain legal files, contract repositories, and document retention practices.
- Assist in developing and updating company policies and procedures.
- Monitor legislative and regulatory changes affecting the organization.
- Attend meetings and provide legal guidance as requested.
- Perform other related duties as assigned.
