Job Overview:

We are seeking a highly skilled Contracts Manager to join our team on a contract basis. The ideal candidate will have extensive experience in managing commercial contracts, particularly within the investments sector. This role involves drafting, reviewing, and negotiating third-party service agreements, as well as advising business owners and collaborating with various internal and external stakeholders. The position is hybrid, requiring 2-3 days per week onsite in Boston or New York, and offers the potential for extension or conversion to a permanent role based on organizational needs.

Responsibilities:

• Draft, review, and negotiate agreements, including MSAs, SOWs, SLAs, order forms, amendments, and data privacy agreements.
• Advise business owners by translating contractual terms into plain language and shaping requirements into actionable scopes.
• Collaborate with Global Procurement, Legal, Third Party Risk Management, and Information Security to ensure agreements move efficiently through the review process.
• Resolve disputes and unclear terms related to performance issues, service credits, scope disagreements, and invoicing discrepancies.
• Maintain accurate contract records, including key dates, renewal triggers, termination rights, and spend commitments.
• Monitor consumption against contracted entitlements and provide recommendations for adjustments as needed.
• Support the renewal and negotiation calendar by preparing negotiation positions and briefing stakeholders on options.

Qualifications:

• 5 to 7 years of experience in commercial contract management, procurement, or contracts-focused legal work.
• Experience in a global investment manager, fund administrator, or comparable investment organization.
• Proven negotiation skills with third-party service providers, including handling liability, indemnification, and data handling terms.
• Strong stakeholder management skills and the ability to work with business owners, legal counsel, procurement, and vendors simultaneously.
• Excellent organizational skills and the ability to manage multiple agreements against competing deadlines.
• Clear written and verbal communication skills, particularly in explaining contractual issues to non-legal audiences.
• Experience with contract lifecycle management platforms and repositories.
• Adaptability to shifting requirements, especially around data privacy and third-party risk expectations.

Preferred Experience:

• Familiarity with agreements related to fund administration, loan servicing, market data licensing, and professional services.
• Understanding of software licensing and subscription models, including tiered and consumption-based pricing.
• Exposure to regulatory and third-party risk requirements in financial services.
• Experience contracting with offshore or nearshore service providers.

Pay Range: $45- $50/hr on W2

The specific compensation for this position will be determined by several factors, including the scope, complexity, and location of the role, as well as the cost of labor in the market; the skills, education, training, credentials, and experience of the candidate; and other conditions of employment.
