We are a leading corporate law firm that provides strategic legal and business advice to high growth technology and life sciences companies and the venture capital and angel investors who fund them, is seeking a Corporate Associate with three to six years of experience to join our dynamic team. Our corporate associates are a vital part of the firm, engaging
in hands-on drafting, negotiating, and day-to-day client communication on a variety of complex corporate transactions.

Job Details

Requirements:

• North Carolina bar license
• Corporate transactions, including mergers and acquisitions
• Transactional due diligence
• Fundraising and venture financings, including issuances of preferred stock and

convertible securities

• Acting as outside general counsel, including counseling clients, drafting consents

and reviewing contracts

• Managing capitalization tables, including via Carta and other cap table

management systems, and preparing waterfalls and pro formas.
