Corporate Attorney Needed Boston

A highly respected and established law firm is seeking a Mergers & Acquisitions Corporate Associate to join its team in the Providence, Rhode Island area. This is a confidential opportunity with an immediate opening for an attorney who brings strong M&A experience, excellent writing and communication skills, and a high level of organization and professional judgment.

The ideal candidate will have a demonstrated ability to manage sophisticated transactions, work effectively with clients and internal stakeholders, and represent the firm with professionalism and discretion.

Key Responsibilities

• Handle mergers and acquisitions and other complex corporate transactions from inception through closing.
• Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related transaction documents.
• Assist sellers, management teams, and buyers throughout the M&A process.
• Conduct comprehensive due diligence reviews and identify and address transaction risks.
• Advise emerging and growth companies regarding corporate formations, corporate governance, capital raises, and restructurings.
• Provide counsel regarding joint ventures and capital raises; experience within the commercial real estate industry is preferred.
• Draft, review, revise, and negotiate a variety of commercial contracts.
• Communicate effectively with clients, counterparties, and other interested parties.
• Coordinate organized and efficient transaction closings.
• Ensure appropriate internal stakeholders and functional partners are engaged in identifying and mitigating transaction risks.
• Ensure transactions are completed in accordance with applicable procedures, policies, and requirements.
• Provide regular updates regarding deal status, including regulatory approvals, key issues, and external legal expenses.
• Handle sensitive and confidential matters with appropriate discretion.

Qualifications

• 2–5+ years of continuous, specific, and verifiable M&A experience.
• Bachelor’s degree and J.D. degree required.
• Licensed to practice law and in good standing in Rhode Island or Massachusetts — required.
• Strong experience drafting, reviewing, and negotiating transactional documents.
• Excellent oral and written communication skills.
• Highly skilled legal writer with exceptional attention to detail.
