Corporate Securities Attorney, Senior Associate, Counsel or Junior Partner, Minneapolis, MN

A nationally recognized, full-service law firm is adding a corporate securities attorney to its Minneapolis office. You'd be joining a growing, entrepreneurial securities practice that works closely with public companies, their boards and their executives.

More about the role:

• Advise public companies on Securities Act and Exchange Act compliance and disclosure.
• Draft and review Forms 10-K, 10-Q and 8-K, plus proxy statements for annual and special meetings.
• Prepare Forms 3, 4 and 5, and advise insiders on trading plans and short-swing profit rules.
• Handle corporate governance work, such as board resolutions, policies and press releases.
• Work on public and private securities offerings and on stock exchange listing requirements.

What we're looking for:

• At least 5 years of in-depth public-company securities experience at a law firm.
• Experience with broker-dealers, FINRA, investment advisers or fund formation is a plus.
• A strong academic record and excellent research, writing and communication skills.
• Candidates at the senior associate, counsel and junior partner levels will all be considered.

Compensation listed is for an associate role - comp is subject to title.

This is a chance to do sophisticated public-company work at a national platform from Minneapolis, in a collegial and supportive practice group. Pay depends on experience.
