Note: Candidates must be licensed to practice law in Ohio and should bring 5+ years of transactional attorney experience. The ideal candidate will have 8+ years of corporate transactional experience.

Job Description
- Draft, review, negotiate, and revise a wide range of corporate and commercial agreements.
- Advise clients on business transactions, entity formation, governance, contract matters, and general corporate legal needs.
- Support mergers, acquisitions, business succession matters, commercial transactions, and other deal-related work.
- Conduct legal research, review due diligence materials, and help identify practical legal and business risks.
- Work directly with partners, clients, opposing counsel, and internal teams to move transactions forward efficiently.
- Prepare closing documents, resolutions, operating agreements, purchase agreements, and related corporate documentation.
- Manage multiple transactional matters, deadlines, and client priorities with strong attention to detail and sound legal judgment.
- Build trusted client relationships through responsive communication, practical advice, and high-quality work product.
Qualifications
- Ohio law license required.
- 5+ years of transactional attorney experience required.
- 8+ years of corporate transactional experience strongly preferred.
- Experience with corporate law, commercial contracts, business transactions, entity formation, governance, mergers and acquisitions, or related transactional matters.
- Strong drafting, negotiation, analytical, and client communication skills.
- Ability to manage multiple matters and deadlines in a professional law firm environment.
- Detail-oriented, business-minded, organized, and able to work collaboratively with attorneys, staff, and clients.
