The Opportunity
PSC
Health is seeking an experienced General Counsel to serve as the chief legal
advisor to the Chief Executive Officer, the executive leadership team, and the
organization’s affiliated business entities. This is a full-time, on-site
executive role based in Pikesville, Maryland.
The
General Counsel plays a critical role in protecting and advancing the PSC
Health mission. By providing strategic legal leadership, reducing
organizational risk, and enabling responsible growth, this position helps
ensure PSC Health can continue expanding its impact while maintaining the
highest standards of ethics, compliance, and corporate governance. It is an

What You’ll Do
- Serve as the
chief legal advisor to the Chief Executive Officer, executive leadership
team, and affiliated business entities, providing strategic legal guidance
that supports organizational growth and long-term business objectives.
- Provide
legal counsel on corporate law, healthcare law, employment law, tax law,
zoning and land use matters, regulatory compliance, corporate governance,
and enterprise risk management.
- Research,
interpret, and advise leadership on federal, state, and local laws
affecting current operations, new business ventures, acquisitions, and
expansion into new markets and jurisdictions.
- Lead legal
strategy for mergers, acquisitions, joint ventures, entity formation,
corporate restructuring, and other strategic business transactions,
including legal due diligence and contract negotiations.
- Draft,
review, negotiate, and manage a broad range of legal documents including
contracts, employment agreements, vendor agreements, leases, operating
agreements, bylaws, board resolutions, financing documents, policies, and
other corporate legal instruments.
- Provide
legal guidance on employment matters including employee relations,
workplace investigations, disciplinary actions, wage and hour compliance,
labor law, restrictive covenants, and employment litigation.
- Advise on
healthcare regulatory matters including licensing, reimbursement, HIPAA,
privacy, behavioral healthcare regulations, corporate compliance, and
payer relationships, ensuring compliance across all affiliated entities.
- Oversee
legal matters involving real estate acquisitions, leases, zoning
approvals, permitting, land use issues, construction projects, and
facility development or expansion.
- Identify,
assess, and mitigate legal, regulatory, financial, operational, and
reputational risks while managing litigation, government investigations,
audits, claims, and relationships with outside counsel and regulatory
agencies.
- Partner with
executive leadership and departmental leaders to develop legal strategies
that support ethical business practices, operational excellence,
organizational growth, and the long-term success of PSC Health and its
affiliated companies.
Requirements
What You Bring
Required:
- Juris Doctor
(J.D.) from an accredited law school.
- Active
license to practice law and membership in good standing in Maryland and
Virginia, with the ability to obtain licensure in additional jurisdictions
as needed.
- Comprehensive
knowledge of corporate, employment, labor, and healthcare law, including
HIPAA, regulatory compliance, workplace investigations, wage and hour
laws, and employee relations.
- Working
knowledge of corporate governance, business structures, tax concepts, real
estate, zoning, land use, permitting, construction, and facility
development.
- Expertise in
drafting, negotiating, and interpreting contracts, employment agreements,
corporate governance documents, operating agreements, leases, acquisition
documents, policies, and other legal instruments.
- Strong legal
research, analytical, and strategic problem-solving skills, with the
ability to assess risk and provide practical business-focused legal
guidance.
- Strong
business acumen with knowledge of organizational strategy, financial
structures, enterprise risk management, and multi-state operations.
- Exceptional
communication, negotiation, conflict resolution, and relationship-building
skills, with the ability to manage complex legal matters, maintain
confidentiality, and exercise sound professional judgment.
- Full-time,
on-site availability in Pikesville, Maryland.
Preferred
- Ten or more
years of progressively responsible legal experience.
- Experience
serving as in-house counsel or General Counsel, or advising complex
organizations.
- Experience
supporting multiple legal entities, holding companies, or multi-state
organizations (strongly preferred).
- Experience
in healthcare, behavioral health, private equity, mergers and
acquisitions, healthcare compliance, or corporate governance.
- Experience
managing outside counsel, corporate transactions, litigation, and
executive-level legal strategy.
Benefits
Compensation and Schedule
- Salary: $220,000 - $260,000 annually, commensurate with experience
- Schedule: Full-time | On-site | Salaried Exempt
