Jr. Associate Attorey – Class of 2022 - 2024

Corporate Life Sciences Practice Group:

A globally renowned, innovative law firm seeks a 2–4 year Corporate Life Sciences Associate (2022–2024 JD graduates). While a life sciences background is not required, a passion for the field is essential. This is a strategic hire, indicating significant investment in the practice group.


Compensation & Benefits

Cravath-scale Salary ($245k for 2nd year, $305k for 4th year.

Bonus: Biglaw-standard and merit-based discretionary bonus ranging from $20k–$100k+, depending on class year and performance

Qualifications

  • Education: JD from an ABA-accredited law school with exceptional academics and extracurriculars.
  • Bar Admission: Active membership in good standing in the relevant state (or eligibility for prompt admission).
  • Experience: 2–4 years focusing on complex corporate and commercial transactions from a Chambers-ranked or highly reputable firm. Experience should include public company work, registered equity offerings, and M&A. Corporate life sciences transactional experience is preferred, but strong client-facing associates from private equity, structured finance, and other high-end industries will be considered.
  • Skills: Outstanding academic credentials; exceptional written and verbal communication; proven ability to work collaboratively and independently; strong business judgment; attention to detail.


Day-to-Day Responsibilities

Join a dynamic practice group focusing on corporate transactions for cutting-edge life sciences, healthcare, and technology companies globally. Responsibilities include:

  • Structuring and executing equity financing (venture capital, PIPE, registered direct offerings).
  • Managing IPOs and follow-on public offerings (drafting registration statements, underwriting agreements, disclosures).
  • Advising on M&A for public and private companies (asset/stock acquisitions, reverse mergers).
  • Providing SEC representation and counsel on securities law compliance, periodic reporting (10-K, 10-Q, 8-K), proxy statements, and Section 16 filings.
  • Handling corporate governance (board resolutions, committee charters, stockholder agreements).
  • Supporting public companies from pre-IPO to post-IPO compliance.
  • Managing substantial deal components independently while collaborating within teams.
  • Building and maintaining client relationships with venture-backed private and public companies and institutional investors in life sciences and healthcare.
