This execution-focused role is designed for a seasoned corporate attorney to independently run startup acquisitions and exit transactions end-to-end-from LOI through closing-leveraging modern, AI-assisted workflows.What You Will Be DoingEnd-to-End Deal Ownership: Lead M&A transactions for startup clients and acquirers, including stock/asset purchases, acqui-hires, earnout structures, and full company sales.Executive Advisory: Serve as the primary trusted advisor for founders and executive management teams across deal lifecycles.Direct Negotiation: Negotiate transaction documents directly with opposing counsel, applying modern tech-market M&A standards.AI Tool Integration: Utilize, refine, and champion AI-native legal platforms and automated workflows to accelerate deal execution and accuracy.Practice Leadership: Act as the dedicated subject matter expert owning the firm's M&A vertical.Key Requirements6–8 Years M&A Experience: Deep experience in the startup ecosystem (early- to growth-stage acquisitions, asset deals, acqui-hires, and founder exits).Core M&A Deal Mechanics: Expertise in drafting and negotiating purchase agreements, reps & warranties, indemnification provisions, and escrow/earnout structures.Big Law Background: Foundational training at a reputable national or international corporate law firm required.Autonomous Execution: Proven track record running deals end-to-end without hand-holding.AI Legal Tool Fluency: Hands-on experience and high comfortability using AI-assisted legal tools (e.g., AI due diligence software, automated drafting tools, contract analytics).Bar Admission: Active license to practice law in good standing in at least one U.S. jurisdiction.Nice-to-HaveIn-House Experience: Open to candidates currently working in-house who possess a prior Big Law M&A background.Ancillary M&A Knowledge: Working familiarity with ancillary deal issues, including employment, intellectual property (IP), and commercial legal matters.
