Position Summary
Certes Networks is seeking a highly organized, business-minded professional to own contract administration and a broad range of business operations responsibilities. This is a key role within a lean organization and will serve as the primary internal coordinator for contracts, outside legal counsel, export compliance processes and selected cloud/business operations. The successful candidate does not need to be an attorney, but must be comfortable reviewing agreements, identifying issues, managing processes and knowing when to engage outside specialists.
Responsibilities
· Maintain the company contract log, executed agreement repository, renewal/expiration calendar and related documentation.
· Maintain approved standard agreements, including NDAs and partner agreements, working with the company’s external legal counsel on updates and strategic guidance.
· Perform first-line review of customer, partner, vendor and other business agreements; coordinate redlines, internal input, approvals and negotiations.
· Escalate material legal, commercial or non-standard terms to company leadership and outside counsel in accordance with established approval policies.
· Manage contract signature workflow and ensure appropriate approvals and complete executed records.
· Coordinate legal requests and serve as a primary administrative interface with external counsel.
· Train to assume responsibility for the company’s export compliance program and Export Compliance Officer responsibilities.
· Manage day-to-day BIS/export compliance processes, including classifications, CCATS, export licenses, screening, records, policies, procedures and required reporting, with external export counsel/specialists available for support.
· Coordinate development and operation of the company Export Compliance Committee and employee export-compliance training.
· Develop expertise in the business/operational administration of the company’s AWS and Azure activities, including agreements, subscriptions, renewals, account administration, cost monitoring and coordination with technical teams.
· Maintain selected corporate records and support corporate data-room readiness, due diligence and other strategic transactions.
· Coordinate vendor contract administration, certificates of insurance and other recurring customer/vendor documentation requests.
· Document assigned processes, approval requirements and key calendars to reduce key-person dependency and ensure business continuity.
· Take ownership of additional cross-functional business operations responsibilities appropriate for a small, growing cybersecurity company.
Preferred Skill Requirements
· Approximately 7-10+ years of experience in contracts, legal operations, compliance, business operations or a related field.
· Experience reviewing and administering commercial agreements and coordinating with internal business owners and external counsel.
· Strong project-management and organizational skills with exceptional attention to detail and follow-through.
· Business judgment sufficient to distinguish routine matters from issues requiring legal or executive escalation.
· Ability and interest to learn new regulatory and operational areas and become the internal process owner.
· Excellent written and verbal communication skills and comfort working across Sales, Finance, Engineering, Product and executive leadership.
· Experience working independently in a small or mid-sized organization where the role spans multiple functional areas.
Additional Experience That Would Be a Plus
· Hands-on U.S. export-control/EAR/BIS experience, including ECCNs, CCATS and export licensing.
· Experience with AWS Marketplace, AWS business operations, Microsoft Azure or comparable cloud-platform administration.
· Cybersecurity, technology, networking or other regulated-technology industry experience.
Position
This is a full-time hybrid position in the Pittsburgh area and will include a combination of in-office and remote work. The position will include a competitive base salary and full benefits package. The role is expected to work closely with company leadership and external advisors during a structured transition period.
