Private Investment Fund / Investment Management Counsel

A highly regarded boutique law firm is seeking a Private Investment Fund / Investment Management Counsel to join its Stamford office.

The ideal candidate will have at least seven years of experience advising private investment fund sponsors and institutional investors in connection with fund formation and related investment management matters.

Representative Experience May Include

• Structuring and forming private investment funds
• Drafting and negotiating private placement memoranda
• Limited partnership and operating agreements
• Subscription agreements and side letters
• Advising sponsors regarding fund governance, investor negotiations, and regulatory considerations
• Counseling clients regarding securities law and investment management issues
• Reviewing fund and co-investment documentation for institutional investors
• Managing sophisticated fund formation matters from inception through closing
• Serving as a key client contact and collaborating directly with sponsors, investors, and deal teams

The ideal candidate will have:

• At least seven years of private investment fund formation and investment management experience
• Significant experience drafting and negotiating core fund documents
• Strong knowledge of fund structures, sponsor and investor considerations, and applicable securities regulations
• Excellent drafting, analytical, organizational, and client management skills
• Strong academic credentials
• Large law firm and/or in-house investment management experience
• The ability to independently manage sophisticated matters and work collaboratively within a team-oriented environment
• Connecticut Bar admission or eligibility for admission upon hire

Experience reviewing fund and co-investment documentation for institutional investors and New York Bar admission are both a plus.
