Senior Corporate Attorney (NYC) — Job Description

About the Role

We are seeking an experienced Senior Corporate Attorney to join our NYC team and advise high‑growth companies, investors, and market participants on corporate transactions, venture financings, mergers & acquisitions, and strategic commercial matters. The ideal candidate will combine strong legal judgment with commercial awareness, supporting clients across all stages of their business lifecycle and providing pragmatic solutions to complex legal challenges.

Key Responsibilities

• Lead and manage corporate transactions including venture capital financings, mergers & acquisitions, and other strategic investments

• Advise clients on corporate governance and capital structure matters, incorporating long‑term business planning into legal strategies

• Draft, review, and negotiate complex legal documents, including financing agreements, stock purchase agreements, commercial contracts, and related transaction documentation.

• Provide counsel on commercial transactions across technology and emerging growth sectors, tailoring advice to business needs and risk tolerance. 

• Partner with cross‑functional teams, coordinating with finance, compliance, and operational stakeholders to align legal strategy with business objectives.

• Stay abreast of developments in emerging technology law, including areas such as blockchain, cryptocurrency, and AI‑related transactions. 

• Build and maintain strong client relationships through practical advice, responsiveness, and a deep understanding of the client’s business and industry.

Qualifications

• Juris Doctor (JD) from an accredited law school and active admission to the New York Bar

• Significant experience (typically 7+ years) in corporate law, with a focus on venture capital, emerging companies, and complex commercial transactions. 

• Strong background in venture financings, M&A, corporate governance, and commercial contract negotiation. 

• Proven ability to manage and execute on high‑stakes deals with minimal supervision. 

• Excellent analytical, communication, and drafting skills, with a business‑minded approach to legal problem solving. 

• Prior experience advising technology, venture capital, or emerging growth clients is a strong plus.

Preferred Attributes

• Experience working with emerging technology sectors, including Web3, AI, blockchain, or other innovation‑driven industries. 

• Prior role at a national or international firm or in‑house legal department supporting fast‑growing companies.

• Commercial awareness and comfort advising clients at all stages of growth, from early‑stage financing to exit.
