Senior Corporate M&A Associate

Ana Bird Legal Search is partnering with a sophisticated Chicago-based law firm seeking a Senior Corporate M&A Associate with 6 to 8 years of substantial transactional experience.

This opportunity offers meaningful responsibility on sophisticated middle-market transactions, direct collaboration with experienced corporate partners, and a flexible hybrid schedule. The firm's Corporate Practice represents private equity funds, middle-market companies, family businesses, and entrepreneurs in transactions ranging from approximately $10 million to $1 billion.

Responsibilities

• Represent clients in sophisticated private company mergers, acquisitions, divestitures, and private equity transactions.
• Draft, review, and negotiate purchase agreements, commercial contracts, shareholder agreements, and LLC agreements.
• Advise on corporate governance, restructurings, joint ventures, and general corporate matters.
• Handle private securities offerings and related transactional matters.
• Manage due diligence, transaction documentation, negotiations, and closings.
• Independently coordinate complex transactional workstreams and collaborate with partners, clients, and specialist teams.

Qualifications

• 6 to 8 years of sophisticated corporate M&A transactional experience.
• Substantial experience with private company acquisitions, divestitures, and private equity transactions.
• Strong knowledge of corporate governance, commercial agreements, and LLC and shareholder matters.
• Familiarity with private securities offerings and complex corporate transactions.
• Excellent drafting, negotiation, analytical, and client communication skills.
• J.D. and active bar admission in good standing.
