Job Details

Our client is seeking an outstanding associate with a minimum of 3 years of experience to join its tax practice. The successful candidate will focus primarily on transactional tax matters and will work closely with attorneys and clients on sophisticated domestic business transactions and tax planning for privately held businesses, high-net-worth individuals, family offices, and emerging companies.

Representative responsibilities include:

Advising private companies, including partnerships, S corporations, and C corporations, on the federal, state, and local tax aspects of mergers, acquisitions, dispositions, joint ventures, financings, restructurings, and other strategic transactions.
Drafting, reviewing, and negotiating tax provisions in transaction documents, including tax representations and warranties, tax covenants, tax indemnification provisions, tax treatment provisions, purchase price allocations, partnership allocation provisions, complex distribution waterfalls, tax distribution provisions, tax contest procedures, profits interests, and other tax-related contractual provisions.
Advising clients on pre-transaction restructuring matters, including F reorganizations and other corporate and partnership restructurings, asset contributions and distributions, debt restructurings, and related tax planning strategies designed to facilitate acquisitions, dispositions, and other transactions.
Counseling high-net-worth and ultra-high-net-worth individuals, family offices, and emerging companies on transactional tax planning and business structuring, including Qualified Small Business Stock (QSBS) issues, Section 1031 exchanges, state and local tax matters, property tax matters, and charitable planning.
Compensation: The anticipated annual base salary range for this position is $230,000–$350,000, depending on factors including the candidate’s qualifications and years of relevant experience.

Associates who meet applicable performance standards, including billing at least 1,900 hours annually, can reasonably expect total compensation of approximately $380,000–$475,000, consisting of base salary and a discretionary bonus. The discretionary bonus may increase based on the number of hours billed and collected in excess of 1,900 hours. Associates may also be eligible for an additional bonus based on work they originate.
