Experience must include: Supporting deal execution by drafting, reviewing, and negotiating key transaction documents, stock and asset purchase agreements, merger agreements, Letters of Intent (LOIs), term sheets, and disclosure schedules; Coordinating due diligence reviews and preparing diligence reports; Advising on U.S. and international M&A transactions in energy, infrastructure, and heavy industries sectors; Managing closing checklists and handling deal closings; Performing due diligence activities including reviewing target company contracts, corporate documents, litigation, IP, compliance issues, and identifying and advising on legal risks to clients; Communicating with private equity sponsors, strategic buyers, portfolio companies, and management teams to coordinate corporate transactions; Advising clients on deal structures, risk allocation, and negotiation strategies; Supporting M&A transactions by coordinating with internal teams (including tax, antitrust, finance, employment) across multiple jurisdictions. Work within the M&A/Private Equity practice group to lead the representation and counsel of corporate and private equity clients in complex corporate transactions.
