Responsibilities Assist attorneys with corporate transactions, including mergers and acquisitions, financings, restructurings, and general business mattersPrepare and file entity formation, qualification, dissolution, merger, conversion, and amendment documents with state agenciesDraft and maintain corporate governance documents, including consents, resolutions, bylaws, operating agreements, stock certificates, and minute booksConduct corporate due diligence and assist with document review, organization, and closing checklist managementPrepare and maintain closing sets, binders, signature pages, and transaction documentsOrder and review good standing certificates, certified copies, UCC searches, lien searches, and other corporate recordsAssist with UCC filings, amendments, continuations, and terminationsMaintain entity management databases and corporate recordsCoordinate with attorneys, clients, registered agents, state agencies, and third-party vendorsTrack deadlines and ensure timely completion of filings and transaction-related tasksQualifications Prior experience as a corporate paralegal in a law firm or corporate legal departmentStrong knowledge of corporate entities, governance, filings, and transaction supportExperience with Secretary of State filings and corporate record maintenanceFamiliarity with M&A, finance, private equity, securities, or general corporate matters preferredExcellent drafting, proofreading, organizational, and communication skillsAbility to manage multiple projects and deadlines with accuracy and professionalismProficiency with Microsoft Office and legal document management systemsParalegal certificate or bachelor's degree preferred, but not required depending on experience#J-18808-Ljbffr.
