The Assistant Corporate Secretary will provide essential, ensuring compliance with corporate governance and regulatory requirements. This role requires a meticulous and organized individual to manage key legal and administrative functions effectively. Candidates must have experience as a corporate secretary within a large, regulated institution - ideally banking, but open to experience in insurance or large publicly traded organizations as well.

Client Details

This global bank is in a period of signficant growth and transition following a major acquisition. The Dallas office is about 100 people and will continue to grow. This person will join a team of 4 and act as the sole member of the Corporate Secretary team for Dallas for at least the next year.

Description

  • Prepare and manage board and committee meeting materials, including agendas, resolutions, and minutes.
  • Support corporate governance practices and ensure compliance with applicable regulatory requirements.
  • Maintain and update corporate records, including bylaws, policies, and charters.
  • Coordinate with internal and external stakeholders to address legal and governance-related inquiries.
  • Assist with shareholder communications and filings, ensuring accuracy and timeliness.
  • Monitor changes in regulations and advise on their potential impact on the organization.
  • Work closely with the Legal department to support transactional and compliance activities.
  • Provide administrative support to the Corporate Secretary as needed.

Profile

A successful Assistant Corporate Secretary should have:

  • 5+ years of experience of in-house corporate secretary or corporate governance experience, ideally in larger financial services firm.
  • Experience working for an IHC of a foreign banking organization or FDIC-insured bank is a significant plus
  • Bachelor's degree is required, Paralegal certification is a plus.
  • Proficiency in Diligent (or similar Board portal) is a strong plus.
  • Exceptional organizational and communication skills.
  • Ability to handle confidential information with discretion and professionalism.
