Corporate Paralegal
About the Role
Join a legal team providing support on a wide range of corporate matters, including entity management, governance, and transactional work. This full-time Corporate Paralegal role is ideal for someone who enjoys working on complex legal documentation, staying organized across multiple priorities, and contributing to the success of a high-performing legal department.
What Youll Do
Draft and maintain corporate documents, including formation paperwork, bylaws, board resolutions, and annual filings
Manage and track corporate entities, ensuring compliance with jurisdictional requirements
Assist with due diligence, signature packet preparation, and closing checklists for corporate transactions
Support attorneys with regulatory filings, contracts, and other corporate records
Coordinate with internal stakeholders and outside counsel on corporate governance matters
Organize and maintain corporate databases and document management systems
Help prepare materials for board meetings and manage minute books
What Youll Need
Prior experience as a corporate paralegal in a law firm or in-house legal department
Strong understanding of corporate entity formation, maintenance, and governance
Experience supporting mergers, acquisitions, financings, or other corporate transactions
Excellent organizational and document management skills
Proficiency in Microsoft Office and legal database systems
Strong attention to detail, written communication, and time management
Ability to work independently and handle multiple deadlines
