Duties include: • Drafting, negotiation, and management of various types of contracts, including physician employment agreements, independent contractor agreements, teaching and other administrative stipend arrangements, leases and licenses, confidentiality and business associate agreements, student affiliations, information services agreements, and vendor services agreements; • Providing legal advice and guidance on regulatory matters such as tax-exemption, Stark Law, Anti-kickback Statute, False Claims Act, Fraud and Abuse, Department of Health, the Joint Commission, HIPAA, and EMTALA; • Assisting with corporate governance issues, including review and revision of bylaws and corporate documents; • Dealing with matters relating to real estate, zoning, and leasing; • Attending Board-level and other committee meetings; • Providing counsel on medical staff matters (disruptive physicians, chain of command, peer review, disciplinary matters, credentialing and privileging, and medical staff investigations); • Assisting with legal issues relating to patient care (substitute decision-making, refusal of care, guardianships); • Overseeing commercial litigation; • Coordinating matters with outside counsel.
