Work as sole Corporate Secretary team member in Dallas.About Our ClientThis global bank is in a period of significant growth and transition following a major acquisition. The Dallas office is about 100 people and will continue to grow. This person will join a team of 4 and act as the sole member of the Corporate Secretary team for Dallas for at least the next year.Job DescriptionPrepare and manage board and committee meeting materials, including agendas, resolutions, and minutes. Support corporate governance practices and ensure compliance with applicable regulatory requirements. Maintain and update corporate records, including bylaws, policies, and charters. Coordinate with internal and external stakeholders to address legal and governance-related inquiries. Assist with shareholder communications and filings, ensuring accuracy and timeliness. Monitor changes in regulations and advise on their potential impact on the organization. Work closely with the Legal department to support transactional and compliance activities.
