p>The Corporate Attorney will be responsible for the following duties: - Developing and reviewing investor presentations, ensuring legal and financial accuracy;
- Advising on SEC compliance, disclosure obligations, and governance matters;
- Providing legal oversight on fundraising, shareholder communications, and investor inquiries;
- Structuring, drafting, and negotiating contracts for strategic alliances, joint ventures, and high-value deals;
- Ensuring compliance with regulatory requirements and risk mitigation in partnership agreements;
- Collaborating with internal teams on deal structuring, due diligence, and contract execution;
- Drafting, reviewing, and negotiating customer contracts, service agreements, and licensing deals;
- Ensuring contract terms align with business objectives while mitigating legal and financial risks;
- Working closely with sales and finance teams to address liability, indemnity, and dispute resolution terms;
- Drafting and negotiating employment agreements, executive compensation packages, and incentive plans;
- Ensuring compliance with labor laws, non-compete clauses, and confidentiality agreements;
- Providing legal guidance on terminations, severance packages, and dispute resolution;
- Representing the company in high-level meetings with investors, partners, and regulatory bodies; and. Youll provide strategic counsel on corporate governance, fundraising, commercial transactions, employment matters, and complex cross-border legal issues while helping the business navigate risk with speed and confidence.
