Lewis Brisbois' Corporate Practice attorneys advise clients regarding: choice of business entity and entity formation, taxation, corporate governance, corporate finance, federal and state securities regulations, stock option and deferred compensation plans, commercial law and finance, secured transactions, commercial transactions, and mergers and acquisitions and other company reorganizations. The ideal candidate will have three (3) to seven (7) years of experience reviewing, drafting, and negotiating a wide variety of corporate agreements, including asset and stock purchase agreements, disclosure schedules and other transaction ancillary agreements, operating and shareholders agreements, consulting agreements, service agreements, commercial contracts, financing agreements, and real estate agreements.

Provides general administrative support, which may include preparing miscellaneous reports for the department as requested, scanning documents to loan files, monitoring collateral information to ensure accuracy on reports, assisting with missing documentation follow-up and creating and maintain corporate client files. Issues attorney engagement letters and works with outside counsel to prepare the loan documents in accordance to the bank approval and remains in constant communication with the attorney, Corporate Banker, and Loan Documentation to meet all deadlines as well as close the loan as approved.
