Bachelor's degree, or equivalent experience, required Paralegal certificate required Must satisfy applicable California paralegal qualification requirements Minimum of 7 years of transactional paralegal experience, preferably in a law firm environment Significant experience supporting corporate transactions, due diligence, entity formation and maintenance, corporate governance, transactional closings and large-volume transaction document management Experience supporting sophisticated real estate transactions strongly preferred; experience supporting infrastructure procurements, public-private partnerships, or other public agency transactions is a plus Strong understanding of entity management, corporate governance, transactional documentation, regulatory filing requirements, UCC searches and filings and online filing systems, including EDGAR, preferred Excellent project management, organizational, communication, proofreading, grammar, spelling and attention-to-detail skills Ability to manage multiple priorities and deadlines with minimal supervision while exercising sound professional judgment and maintaining a strong client-service orientation Advanced proficiency with Microsoft Office, PDF applications, document management systems, electronic signature platforms and collaboration tools Familiarity with AI-enabled legal technology, automation tools, or workflow solutions and apply such tools responsibly to improve efficiency and accuracy Ability to travel off-site on occasion and work a flexible schedule, including overtime, as required. Independently manage multiple concurrent matters, anticipate attorney and client needs and consistently meet deadlines in a fast-paced environment Serve as a resource for transactional procedures, entity management issues, state filings and closing administration Delegate tasks to paralegals, vendors and other staff, as appropriate and assist with training and mentoring junior paralegals and other support personnel Develop and maintain templates, checklists, procedures, best practices and workflow improvements to increase efficiency, consistency and cost-effectiveness Evaluate, recommend and help implement technology solutions, including approved AI-enabled tools, to improve entity management, contract management, document organization, closing books, electronic signatures, transaction management and workflow efficiency, consistent with Firm policies Collaborate and communicate with attorneys, clients and Firm management regarding deadlines, project challenges and matter status Accurately and thoroughly record time and prepare detailed descriptions of work performed for client billing Participate in Firm, department and attorney team meetings Accurately and thoroughly record time and prepare detailed descriptions of work performed for client billing Maintain annual billable requirements Complete special projects as needed.
