The role supports all phases of transactions by conducting lien and litigation searches and due diligence, preparing and coordinating UCC filings, reviewing transaction documents for UCC-related requirements, managing closing and post-closing matters, and collaborating with attorneys, clients, service providers, and other internal and external stakeholders to facilitate the timely and efficient execution of matters. Reviewing finance and closing documents, including credit agreements, security agreements, pledge agreements, indentures, mortgages, possessory collateral, intellectual property security agreements and payoff documents, for UCC provisions, authority to file liens and terminations, and other UCC-related requirements.
