The position includes responsibilities in the following areas: Board of Director compensation, insider trading, Section 16 reporting, parent and subsidiary related functions, shareholder services, certain regulatory filings and compliance with certain Securities and Exchange Commission (SEC), New York Stock Exchange (NYSE) Listed Company Manual regulations, federal, state and laws, rules, and regulations. Leading and performing responsibilities relating to the administration of compensation paid to outside directors, including understanding and applying the plan related documents, the processing of payments, working with outside vendors for the issuance and tracking of shares, providing system verifications and analyses, communications, elections, and completing IRS Forms 1099.
