VP, MADJV & Business Development- Chicago, IL
Position Summary:
The VP, MADJV & Business Development will work closely with key leaders across the ADM business in North America to drive actions that shape ADM’s future portfolio of businesses across all three ADM Business Units, reporting directly to the CFO. This position has focus on business development, mergers and acquisitions, divestitures, commercial partnerships and JV alliances. This senior executive responsible for leading ADM’s strategy and execution around buying, selling, or combining businesses to drive growth, efficiency, and portfolio optimization.
Job Responsibilities:
M&A Strategy:
+ Define the company’s acquisition and divestiture strategy aligned to overall corporate goals
+ Identify priority markets, capabilities, and targets
+ Partner with CEO, CFO, and business leaders on long-term portfolio shaping
+ Partner with the CEO, CFO, BU Presidents, VP, Innovation & Growth, and Business Unit CFOs to develop and review the business cases for M&A as well as capital expenditures for growth and efficiency initiatives across ADM
+ Support the senior business team in the development and/or review of the ADM business strategy and strategic plan across all BUs
Deal Origination
+ Build pipeline of potential targets (proactively and via bankers/advisors)
+ Perform both internal and external strategic analyses to become better informed about current business conditions and conduct landscaping studies relevant for the ADM business. Working with commercial teams, build, track and maintain a robust pipeline of M&A opportunities
+ Maintain relationships with investment banks, private equity, and industry networks
+ Screen opportunities and prioritize based on strategic fit
Deal Execution
+ Lead end-to-end transaction process:
+ Valuation and financial modeling
+ Due diligence (financial, legal, operational, tax)
+ Negotiation of key terms
+ Coordination with internal stakeholders and external advisors
+ Present deals to executive leadership and Capital Committee
+ Lead the team for building of complex financial models for merger, acquisition, divestiture and joint-venture activities, and own the process for key valuation metrics like business forecast, and synergies
+ Lead the team that works closely with the Global PMO team to support all due diligence activities across all primary functional areas such as Finance, IT, HR, Commercial, Operations, Procurement, Legal, Compliance, etc.
+ Direct the development of scoping documents and other presentation materials to communicate the financial business case and strategic rationale to executive management including the CEO, CFO, BU President and the Capital Committee
+ As required, liaise with third party service providers such as consultants, accounting firms, investment banks, law firms
+ Support the end to end M&A life cycle (sourcing, analysis and execution) of M&A/JV/Divestment projects relevant to the ADM business in North America
+ Support senior team in key negotiation sessions and help in setting the negotiation agenda and preparation for negotiations
Integration & Value Realization
+ Oversee post-merger integration planning (often with a dedicated IMO team)
+ Ensure synergy targets are clearly defined and tracked
+ Drive accountability for delivering deal value
Divestitures & Portfolio Optimization
+ Lead carve-outs, spin-offs, or asset sales
+ Optimize capital allocation across the portfolio
Qualifications:
+ Degree in Finance with at least 15 years’ post qualification experience in either business development and M&Ai n a corporate role or professional services firm
+ Experience with acquisition and joint venture valuation, contract negotiations, and due diligence
+ Confident, effective communicator with strong executive presence and influence
+ Superior analytical abilities including advanced knowledge of corporate financial and valuation theory. Superior attention to detail required
+ Ability to identify and address cross-functional issues that may be relevant to completing or implementing acquisitions and alliances
+ Demonstrated commercial acumen and experienced in making decisions in intense and complex conditions
+ Experience in the ag, food and feed industry a distinct advantage
+ Superior skills in Excel financial modeling and Power Point presentation
+ Ability to communicate complex ideas effectively
+ Ability to work independently as well as in a team environment
+ Demonstrated capacity to perform in a fast-paced, global work environment
+ Must be a team player and committed to collaborative working

Base pay offered may vary depending on multiple individualized factors, including market location, job-related knowledge, skills, and experience. Hourly and salaried non-exempt employees will also be paid overtime pay when working qualifying overtime hours.
If hired, employees will be in an “at-will position” and the Company reserves the right to modify base pay (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
The pay range for this position is expected to be between:

Salaried Incentive Plan:
The total compensation package for this position will also include annual bonus and a long-term incentive plan
