Advise clients on the formation, structure, and governance of business entities, including LLCs, corporations, and partnerships• Counsel business owners through mergers, acquisitions, and sales of businesses, including due diligence, negotiation, and closing• Draft and negotiate purchase and sale agreements, operating agreements, shareholder agreements, and related transaction documents• Handle licensing matters, including commercial license agreements and regulatory compliance• Advise business owners on employment matters, including employment agreements, non-compete and non-solicitation agreements, independent contractor arrangements, and workplace policy compliance• Collaborate with firm attorneys on matters involving real estate, estate planning, and related transactional work. from an accredited law school; active Florida Bar membership in good standing• Minimum 3 years of experience in corporate, business, or transactional law• Demonstrated experience in business entity formation and transactional matters• Strong drafting and negotiating skills• Ability to manage client relationships independently while collaborating with firm partners• Experience with employment matters from the employer/owner perspective is a plus• Brevard County or Central Florida ties strongly preferred, but not required.
