p>Skills Required: This position requires experience with the following: Analyzing companies'' corporate finance and accounting documentation to advise on public and private company takeovers; Analyzing mergers and acquisitions transaction structures, legal structuring and tax aspects; Drafting, analyzing, and providing insights on M&A documentation including non-disclosure agreements, engagement letters, term sheets, fairness opinion letters, relationship disclosure letters, offer letters, and process letters; Developing financial models including business operating models and pro forma merger models to assess company valuations in buy-side, sell-side, and structured M&A transactions; Performing value creation analysis, combination analysis, internal rate of return analysis, sum-of-the-parts and synergy analysis, discounted cash flow analysis, comparable companies and precedent transaction valuation analysis, and premiums paid analysis to provide advice to clients on contemplated transactions; Analyzing merger agreements; Facilitating private and public company due diligence; Supporting M&A processes utilizing financial market data tools including Microsoft Office Suite, Bloomberg, FactSet, and VDR providers. QUALIFICATIONS:
Minimum education and experience required: Bachelor''s degree in Business Administration, Finance, Accounting, or related field of study plus 3 years (36 months) of experience in the job offered or as CIB Associate, Private Equity, Investment Banking, Investment Banking Analyst, or related occupation.
